Welcome to next2u – a classifieds service that connects sellers and buyers.

The next2u Terms of Use ("Terms") govern the relationship between next2u S.à r.l. - S. ("Company," "we") and Internet users who access next2u ("users," "you").

You may use next2u in accordance with these Terms and the Privacy Policy. If you do not agree with them, you must stop using next2u.

1. What is next2u

next2u is a website available at next2u.market (including all domain levels) via its full. It consists of intellectual property objects owned by the Company and information (user and administrative content) (“next2u”).

next2u is an electronic catalog of listings for goods, services, jobs, resumes, and other offers (collectively, “goods”), which users can offer and search for on next2u to make transactions.

The Company provides authorized users with the technical capability to post information on next2u in the format of listings within the provided product categories. The Company grants all users (regardless of authorization) the technical ability to search for and view listings on next2u for the purposes outlined in these Terms. next2u’s automated algorithms process requests to provide relevant information in search results.

The Company is not a party, organizer, buyer, seller, employer, intermediary, agent, representative, beneficiary, or otherwise interested party in transactions between users. Users use the information on next2u to make transactions at their own risk, independently assessing its completeness, reliability, accuracy, and compliance with applicable laws without direct or indirect participation or control by the Company.

2. Registration on next2u

You may register on next2u using an email address or through your social network profile available in next2u's login form. After registration, we create your unique account. Only one account per email address can exist at a time.

If you register via a social network, some features may be limited. To access all available services, we may ask you to provide an email address and a password.

By registering on next2u and each time you log in, you confirm that you have all the necessary legal capacity to enter into and comply with these Terms.

3. Logging into next2u

You may log into your next2u account using the email address linked to your account or through a linked social network (“login credentials”). In the first case, you must enter a password; in the second, you must first log into the respective social network.

You are responsible for maintaining the confidentiality of your login credentials. If you suspect unauthorized access, notify us immediately. You may not sell, rent, or transfer your login credentials to third parties. All actions performed on next2u under your credentials are considered to be carried out by you, and you bear full responsibility for them.

The information you provide to the Company about yourself must be reliable, up-to-date, and must not violate the law or the rights of third parties. You are obliged to update it in your account on next2u as necessary. We may use such information to verify compliance with next2u rules.

All personal data processing is conducted in accordance with the General Data Protection Regulation (GDPR - EU Regulation 2016/679) and our Privacy Policy. You have rights under the GDPR including access, rectification, erasure, restriction of processing, data portability, and the right to object to processing.

We may request data from you to confirm your authority or verify the information you provided on next2u. In particular, if we detect suspicious signs after posting a listing in the "Real Estate" category, we may ask for an official property ownership certificate. This is necessary to verify the information characterizing the property.

We cannot guarantee that all the information that users provide on next2u is true. Exercise caution when making transactions.

We may provide you with the opportunity to undergo a due diligence check on your own initiative, and in certain cases, if signs of violation of the rules or unfair behavior are detected, we may ask you to do so.

Due diligence is necessary to fulfill the agreement with you on providing you with the opportunity to use free next2u functionality and to ensure the safety of next2u users, since we strive to provide a service that makes it easier for users to trust each other and make deals.

next2u may have different types of due diligence. Depending on the specific case, you may be asked to complete one or more verification options.

If you are a private user, for the purpose of due diligence, you can provide information including your passport, driver's license, video image of your face from several angles (without recording your voice or other sounds).

Providing information is intended to confirm that:

the account was created by a real person for the legitimate use of next2u, and was not registered using automated means or previously belonged to another user, but was hacked for the purpose of committing illegal acts;
the user is willing to provide additional information about themselves, since they do not intend to commit illegal acts (deceiving other users, illegally collecting contact information) and do not seek to avoid responsibility for them.

A video image of a person may be requested to confirm that the account belongs to a real person and is not registered automatically; to prevent fraud (for example, using someone else's or fake documents as part of a security check).

next2u's obligations to provide the opportunity to use free next2u features are counter to your obligation to undergo a security check in the event of a threat to the safety of next2u users.

By providing a passport and (or) a driver's license and (or) a video image of a person, you agree to the processing of personal data for the purpose of passing the check in accordance with the Privacy Policy and GDPR requirements. You may withdraw this consent at any time, subject to the provisions of our Privacy Policy.

If you are a professional user, you can pass a security check using the details of an individual entrepreneur or legal entity registered in the Grand Duchy of Luxembourg.

The fact of successfully passing the security check, including confirmation of self-employment, does not mean a guarantee of the reliability and relevance of the information provided by the user in listings and in the account, recommendations to make transactions with him, and does not impose additional obligations on such users.

Information about the fact of successfully passing the check can be used to obtain marks that increase trust in the account (for example, the icon "Documents verified", "Details verified" and others). Such information is for reference only. Information about the passed check can be used as part of the auto-fill functionality, which simplifies the use of next2u services.

In case of unsuccessfully passing the security check, you may not have access to certain functions on next2u or access to your account may be limited.

As a private user, you can only pass the security check in one account on next2u (with the exception of linked profiles). Security check is available only to adult users.

We do not disclose user information to third parties, except in cases stipulated by the legislation of the Grand Duchy of Luxembourg and GDPR requirements (for example, at the request of authorized government agencies or when necessary to comply with legal obligations under Article 6(1)(c) GDPR). At the same time, we cannot be held liable for third-party illegal actions in relation to information that you have independently posted on next2u and made available to other users.

By registering on next2u and each time you log in to next2u, you give your consent in accordance with GDPR Article 6(1)(a):

To our partners to process information about you as a subscriber and about the communication services provided to you (including phone number, information about the subscriber device, other information about services under the contract for the provision of communication services, etc.) and transfer the results of such processing to us;
The Company to transfer your phone number to our partners to confirm your reliability as an next2u user.

Partners will not transfer to the Company information about you that constitutes a secret of communication. Confirmation of your reliability is necessary so that the Company can provide you with the technical ability to create an account on next2u and post any information, to protect the interests of other users, as well as to prevent and suppress violations of the law, the next2u Terms of Use and the service agreement. You may withdraw this consent at any time by contacting customer support, though this may affect your ability to use certain features.

We analyze how you use next2u to make next2u better, help you measure the effectiveness of our services and recommend you the services of next2u.

5. User Content

User content — text, images, and videos that next2u users post in listings, the public part of their profile, and reviews.

The purpose for which users post information on next2u is to establish contact with a potential buyer who is interested in concluding a deal regarding the product in the listing. Posting user content is permitted for informational purposes only.

You are the owner of all the information that you post on next2u. You independently create, modify, post in the public domain for an unlimited number of people, and delete content (including personal data) without our participation or approval. The Company is not responsible for user content posted on next2u and does not act as its distributor.

If you publish your personal data as part of your public profile or listings so that users can contact you or get the most complete information about your offer, you independently disclose it to an indefinite number of people. The Company processes your personal data for the purpose of fulfilling the agreement with you — the next2u Terms of Use, in accordance with GDPR Article 6(1)(b).

If you post personal data of third parties on next2u or otherwise transfer it to the Company, you guarantee to us that you comply with all applicable requirements of the GDPR and legislation on personal data, including, but not limited to, the availability of the necessary consents of data subjects (GDPR Article 6(1)(a)) or other legal grounds for such actions (GDPR Article 6). You remain fully responsible for ensuring GDPR compliance when processing third-party personal data.

You are obliged to independently ensure that user content fully complies with applicable laws, the next2u Terms of Use, the rules for posting listings, profile requirements and reviews. You guarantee that your content does not violate the legal rights and interests of third parties, including rights to the results of intellectual activity.

next2u is not obliged to conduct a preliminary check of user content. We take actions with respect to content based on requests or decisions of authorized persons in accordance with the procedure established by the legislation of the Grand Duchy of Luxembourg.

Collection, copying, use and any other actions with respect to user content for purposes not provided for in the Terms are prohibited and may violate GDPR provisions on lawful processing. User phone numbers and other personal data cannot be used for purposes not directly related to the purchase of goods from the user, as this would constitute unlawful processing under the GDPR.

By leaving reviews on users, as well as responses to reviews, you express your subjective opinion and evaluate your communication or transaction with another user.

It is prohibited to post knowingly false information in reviews, leave any reviews for users on next2u if you are not interested in concluding a deal on the listings of this user, produce or order "cheating" reviews (including leaving reviews for a fee that help improve the seller's rating, calling for such actions or offering them).

You grant the Company the right to use your content and the intellectual property included in it under a non-exclusive license: in perpetuity, without remuneration, in any way, for action throughout the world, both with and without indicating the name of the author. We can use your content to fulfill the Terms, improve next2u, for advertising and educational purposes, in commercial and non-commercial projects. We have the right to save archive copies of user content and not to withdraw materials containing it from circulation.

6. User Communication on next2u

Authorized users can write messages on next2u to discuss products and terms of the transaction. It is prohibited to use messages for any other purposes, including transferring communication between users to other messengers or other communication channels by sending links to other sites, resources and services on the Internet.

Messages to users for purposes not provided for in the Terms violate the GDPR and law on personal data, and cause losses to the Company. Such actions may constitute unlawful processing of personal data under GDPR Article 6.

We have the right to record, decrypt, analyze and store messages on next2u based on our legitimate interests under GDPR Article 6(1)(f). Messages on next2u are not considered private correspondence. We have the right to view correspondence to ensure compliance with the next2u Terms of Use, rules for posting listings and other next2u services, prevent violations of the law and other unfair actions, and make next2u better. This processing is necessary for fraud prevention, security, and service improvement purposes.

7. next2u's Communication with Users

We may send you:

system notifications that you cannot unsubscribe from: for example, to confirm registration, to inform about access restrictions to your account or listings;
service notifications related to your actions on next2u: for example, about receiving a message from another user or about other user actions related to your listing, personalized selections of listings of interest;
marketing and informational notifications: tips from next2u, invitations to participate in research, promotions and news from the Company.

We may send you messages in the notification center in your account, to the email address or phone number specified in your account, to your device in the form of push notifications, as well as in messages on next2u.

In some cases, we may contact you by phone to improve the service. The information we receive from you will help us become better. To provide you with support on using the service, we may also contact you by phone. For these cases, we may involve specialized partners.

You can manage service alerts, information and marketing notifications in your account settings. Settings may vary depending on the device. In accordance with GDPR Article 21, you have the right to object to direct marketing communications at any time, and we will cease such processing upon your request.

You grant the Company the right to use the materials contained in your requests to the Company, including the intellectual property objects included therein, under the terms of a non-exclusive license: in perpetuity, without compensation, in any way, throughout the world, both with and without indicating the name of the author solely for the purpose of fulfilling the next2u Terms of Use, as well as improving next2u and the user experience.

8. Deleting a Account and Right to Erasure

You may delete your next2u account at any time through your settings or by contacting support, exercising your right to erasure under GDPR Article 17 ("right to be forgotten"). If you have not used your account for three years, we may delete it automatically.

Upon account deletion, we will process your personal data in accordance with our data retention obligations under applicable law and GDPR Article 17(3). For more information about data retention periods and deletion procedures, please refer to our Privacy Policy.

9. Protection of Intellectual Rights

The Company owns the exclusive rights to next2u’s software, databases, graphical interface design, trademarks, and other intellectual property elements. Unauthorized use of next2u's intellectual property is prohibited.

We have the right to automatically apply next2u logos/watermarks to the photos you upload to protect the materials in our databases from unauthorized copying.

The verbal designation “next2u” is protected as a trademark that belongs to the Company.

10. License to Use Databases and Software

We grant users a non-exclusive license to use the databases and computer programs necessary for using next2u for the purposes specified in the Terms. No fee is charged for the license.

The license is granted from the moment of access to next2u and remains in effect as long as you use next2u. Searching and viewing listings is available to all users, regardless of registration and authorization. In order to access other next2u functionality, you need to log in.

Without the consent of the Company, it is prohibited to use technical means to interact with the service bypassing the normal procedure for using databases and computer programs. In particular, it is prohibited to use automated scripts to collect information on next2u, as well as for automatic registration of accounts.

Without the consent of the Company, it is prohibited to use databases and computer programs for purposes not specified in the Terms. This means that it is prohibited to extract materials from databases and / or to subsequently use them in any form and in any way, regardless of their volume and agreement with third parties, unless this is directly related to the conclusion of a transaction regarding the goods in the listing. For example, it is prohibited to use materials from next2u databases to fill third-party databases. It is also prohibited to use phone numbers from next2u databases to call next2u users with offers of services or goods. Such actions violate not only the exclusive rights of the Company, but also the intellectual rights of users, and also constitute unlawful processing of personal data of next2u users in violation of GDPR Article 6 (processing without lawful basis) and may result in significant penalties under GDPR Article 83.

11. User Responsibilities

By interacting with the Company and other next2u users, as well as in connection with the use of next2u, you undertake to:

strictly comply with all legal requirements and act in good faith;
comply with the next2u Terms of Use, rules for posting listings, account and review requirements, and other next2u rules and instructions from the Company;
not contact next2u users if you are not a potential buyer and are not interested in concluding a transaction on the listing, not commit actions that lead to spam;
independently bear responsibility to third parties, including if your actions lead to a violation of the rights and legitimate interests of third parties;
do not copy information on next2u using automatic means, including user content;
not to commit illegal acts, and not to use images and statements that provoke cruelty, hatred or disrespect, contain threats, insults or defamatory information, justify illegal or unfair actions, incite them to be committed, do not comply with moral standards or business practices, including not to use obscene and rude language;
not to use next2u or information posted on next2u for purposes not provided for in the Terms;
not to download or use malicious programs on next2u;
not to take actions that may interfere with the normal operation of next2u.

12. Violations and Consequences

We strive to make next2u a convenient and safe tool, so we reserve the right to conduct a random check of users' compliance with the next2u Terms of Use at any time and at our own discretion. For this, we may use automated methods.

We have the right to take measures in the event of detection of violations or actions to prepare for a violation of the law, the rights of third parties or the next2u Rules, including in the event of detection of signs of abuse of next2u services (for example, manipulation of search results, circumvention of the next2u Rules, improper use of next2u functionality), using your account or your technical means: restrict access to your account or some next2u functionality, including temporarily, for example, restrict access to the next2u messenger, restrict the issuance of your content in search results, hide the display of a listing on the map, reject or block your content, restrict access to next2u from certain IP addresses and phone numbers.

We may restrict access to an account if we receive complaints from other users regarding such an account, identify actions that lead to spam, repeated or malicious violations of the next2u Rules, posting listings and indicating prices that do not correspond to reality, hacking an account, failure of the user to provide documents or information at our request, posting false reviews, liquidation of a user - a legal entity, as well as if we notice signs of fraud in the user's behavior on next2u, imposition of additional services and conditions, or if the user has registered a new account on next2u instead of the previously blocked one.

In exceptional cases, if the user completely eliminates the violations committed by him, we can restore access to the account in order to maintain the loyalty of the next2u user.

We are not responsible for possible losses caused to users in connection with taking measures to prevent and stop violations on next2u. We recommend that you save a backup copy of your content on your device.

For violating the law or the rights of third parties when using next2u, you may be subject to administrative, criminal or civil liability.

13. Final Provisions

The provisions of Sections 2, 3, 6 - 8 of the Terms apply to users registered on next2u. All other provisions apply to all next2u users, regardless of registration and authorization. Any form of interaction with next2u (including viewing information) confirms your agreement with the Terms. The Company's obligations to provide access to next2u functionality are counter to your obligations to comply with the Terms. Provision of certain next2u functionality may be regulated by special terms.

next2u functionality may be changed, supplemented or terminated at any time without prior notice to users. Use of next2u is offered "as is", that is, in the form and to the extent in which the Company provides next2u functionality at the time of access to them. We are not responsible for temporary failures and interruptions in next2u and the loss of information caused by them. We are not liable for any indirect, incidental, unintentional damage, including lost profits or lost data, damage to honor, dignity, business reputation or other damage caused in connection with the use of next2u or individual next2u features. We are not liable for illegal and unfair actions of third parties who used next2u.

next2u may contain links to third-party websites and offers. We do not control and are not responsible for the availability, content and legality of such third-party websites, offers and the consequences of their use.

When resolving all disputes between the Company and users, the legislation of the Grand Duchy of Luxembourg applies. All disputes must be referred to the court in accordance with the territorial jurisdiction at the location of the Company (MAMER), unless otherwise provided by law.
